Please read these terms carefully before using our service. By accessing or using freshreceipt.com, you agree to be bound by these terms. If you do not agree, do not use this service.
1. Acceptance of Terms
1.1. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fresh Receipt ("Fresh Receipt," "Company," "we," "us," or "our"), governing your access to and use of the freshreceipt.com website, software, applications, and all related services (collectively, the "Service").
1.2. By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Service.
1.3. We reserve the right to modify these Terms at any time. Continued use of the Service after any such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
1.4. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
2.1. Fresh Receipt provides an online software-as-a-service ("SaaS") platform that enables users to generate, customize, and create digital receipt templates for various purposes.
2.2. The Service allows users to create receipt templates that may include customizable fields such as business names, addresses, itemized purchases, prices, dates, payment methods, tax calculations, and other receipt-related information.
2.3. The Service is provided as a template generation tool only. Fresh Receipt does not verify, validate, authenticate, or endorse any content, information, or data entered by users into receipt templates.
2.4. Fresh Receipt does not represent, warrant, or guarantee that any receipt generated using the Service is accurate, authentic, legitimate, or suitable for any particular purpose.
3. User Eligibility
3.1. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use the Service.
3.2. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement and are not prohibited from using the Service under any applicable laws.
3.3. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind such entity to these Terms.
4. User Accounts
4.1. To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
4.2. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.3. You agree to notify us immediately of any unauthorized access to or use of your account.
4.4. We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.
5. User Responsibilities and Conduct
5.1. Sole Responsibility. You are solely and entirely responsible for all content you create, generate, upload, download, store, share, or otherwise transmit using the Service, including but not limited to all receipt templates, data, text, images, and information ("User Content").
5.2. Lawful Use. You agree to use the Service only for lawful purposes and in compliance with all applicable local, state, provincial, national, and international laws, regulations, and ordinances.
5.3. Prohibited Uses. Without limiting the foregoing, you expressly agree NOT to use the Service to:
- • (a) Create, generate, or distribute fraudulent, falsified, forged, or counterfeit receipts or documents;
- • (b) Misrepresent purchases, transactions, expenses, or financial records;
- • (c) Submit false or misleading receipts to employers, insurance companies, government agencies, tax authorities, courts, financial institutions, or any other entity for reimbursement, tax deduction, expense reporting, insurance claims, legal proceedings, or any other purpose;
- • (d) Commit, facilitate, or further any act of fraud, forgery, theft, embezzlement, money laundering, tax evasion, insurance fraud, or any other financial crime;
- • (e) Impersonate any business, organization, or entity without proper authorization;
- • (f) Infringe upon the trademarks, trade names, logos, branding, or intellectual property rights of any third party, including but not limited to retailers, restaurants, service providers, or any other businesses;
- • (g) Create receipts bearing the names, logos, or branding of third-party businesses (including but not limited to Target, Walmart, Amazon, Costco, Best Buy, or any other retailer or business) for any unlawful, deceptive, or fraudulent purpose;
- • (h) Violate any applicable laws, statutes, regulations, or legal obligations;
- • (i) Deceive, defraud, mislead, or harm any person or entity;
- • (j) Interfere with or disrupt the Service or servers or networks connected to the Service;
- • (k) Circumvent, disable, or otherwise interfere with security-related features of the Service;
- • (l) Use the Service in any manner that could damage, disable, overburden, or impair the Service;
- • (m) Use any automated means to access the Service without our express written permission;
- • (n) Reverse engineer, decompile, or disassemble any aspect of the Service;
- • (o) Violate the rights of any third party, including privacy rights, intellectual property rights, or contractual rights.
5.4. No Verification. Fresh Receipt does not verify, monitor, or validate the accuracy, authenticity, legality, or intended use of any User Content. The absence of verification does not constitute approval, endorsement, or authorization of any User Content.
5.5. Compliance with Laws. You acknowledge that the creation and use of receipts may be subject to various laws and regulations, including but not limited to laws governing fraud, forgery, tax reporting, insurance claims, trademark infringement, and consumer protection. You are solely responsible for understanding and complying with all applicable laws.
6. Disclaimer of Liability for User-Generated Content
6.1. Absolute Disclaimer. Fresh Receipt expressly disclaims any and all liability, responsibility, and obligation for any User Content created, generated, stored, shared, distributed, or otherwise transmitted by users using the Service.
6.2. No Liability for User Actions. Fresh Receipt shall not be liable for any actions, conduct, or omissions of users, including but not limited to:
- • (a) The creation of receipts bearing the names, logos, branding, or other identifying information of third-party businesses;
- • (b) The use of receipts for fraudulent, deceptive, illegal, or unauthorized purposes;
- • (c) The submission of receipts to employers, insurance companies, government agencies, financial institutions, or any other parties;
- • (d) Any misrepresentation, fraud, forgery, or deception committed by users;
- • (e) Any violation of third-party intellectual property rights, including trademark infringement;
- • (f) Any harm, damage, loss, or injury caused to any person or entity as a result of User Content;
- • (g) Any criminal or civil liability arising from User Content or user conduct.
6.3. Tool Provider Only. Fresh Receipt provides a neutral technology platform and template generation tool only. Fresh Receipt does not control, direct, endorse, approve, or assume responsibility for how users choose to use the Service or what content they create.
6.4. No Agency or Partnership. Nothing in these Terms or in the use of the Service creates any agency, partnership, joint venture, employment, or fiduciary relationship between Fresh Receipt and any user.
6.5. Third-Party Rights. Fresh Receipt makes no representations or warranties regarding the rights of users to use third-party names, logos, trademarks, or branding. Users are solely responsible for obtaining any necessary permissions, licenses, or authorizations from third parties.
7. Indemnification
7.1. User Indemnification. You agree to indemnify, defend, and hold harmless Fresh Receipt and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- • (a) Your use or misuse of the Service;
- • (b) Your User Content;
- • (c) Your violation of these Terms;
- • (d) Your violation of any applicable law, regulation, or third-party right;
- • (e) Any fraud, forgery, misrepresentation, or deception committed by you;
- • (f) Any claim by any third party arising from your User Content or conduct;
- • (g) Any claim by any employer, insurance company, government agency, financial institution, or other entity arising from receipts you created using the Service;
- • (h) Any trademark infringement, intellectual property violation, or misappropriation claim arising from your User Content;
- • (i) Any criminal investigation, prosecution, or proceeding arising from your use of the Service.
7.2. Defense and Settlement. Fresh Receipt reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with Fresh Receipt in asserting any available defenses. You shall not settle any claim without the prior written consent of Fresh Receipt.
7.3. Survival. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
8. Intellectual Property
8.1. Fresh Receipt IP. The Service, including all software, code, designs, text, graphics, logos, icons, images, audio, video, and other content provided by Fresh Receipt (excluding User Content), is the exclusive property of Fresh Receipt or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2. Limited License. Subject to your compliance with these Terms, Fresh Receipt grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.
8.3. No Transfer of Rights. Except for the limited license granted herein, these Terms do not grant you any rights in or to the Service or any Fresh Receipt intellectual property.
8.4. User Content License. By creating or uploading User Content, you grant Fresh Receipt a non-exclusive, worldwide, royalty-free license to use, store, and process such User Content solely for the purpose of providing and improving the Service.
8.5. Third-Party Trademarks. All third-party trademarks, trade names, logos, and branding appearing in User Content are the property of their respective owners. Fresh Receipt does not claim any ownership or affiliation with such third parties. Users are solely responsible for any unauthorized use of third-party intellectual property.
9. Disclaimer of Warranties
9.1. As-Is Basis. The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
9.2. No Warranties. To the fullest extent permitted by applicable law, Fresh Receipt expressly disclaims all warranties, express or implied, including but not limited to:
- • (a) Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- • (b) Warranties arising from course of dealing, course of performance, or usage of trade;
- • (c) Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
- • (d) Warranties regarding the accuracy, reliability, completeness, or timeliness of any content or information;
- • (e) Warranties that the Service will meet your requirements or expectations;
- • (f) Warranties that any defects will be corrected.
9.3. No Endorsement. Fresh Receipt does not endorse, verify, or authenticate any User Content. The availability of receipt templates does not constitute approval for any particular use.
9.4. Jurisdictional Limitations. Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights.
10. Limitation of Liability
10.1. Exclusion of Damages. To the fullest extent permitted by applicable law, in no event shall Fresh Receipt or its officers, directors, employees, agents, affiliates, successors, or assigns be liable for any:
- • (a) Indirect, incidental, special, consequential, punitive, or exemplary damages;
- • (b) Loss of profits, revenue, business, goodwill, or data;
- • (c) Cost of procurement of substitute goods or services;
- • (d) Damages arising from your use or inability to use the Service;
- • (e) Damages arising from User Content or user conduct;
- • (f) Damages arising from unauthorized access to or alteration of your data;
- • (g) Damages arising from any third-party claims;
Regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Fresh Receipt has been advised of the possibility of such damages.
10.2. Maximum Liability. To the fullest extent permitted by applicable law, Fresh Receipt's total cumulative liability for all claims arising out of or relating to these Terms or the Service shall not exceed the lesser of: (a) the amounts you actually paid to Fresh Receipt in the thirty (30) days immediately preceding the claim, or (b) ten Canadian dollars (CAD $10.00).
10.3. No Liability for User Content. Notwithstanding any other provision of these Terms, Fresh Receipt shall have absolutely no liability whatsoever for any claims, damages, or losses arising from or related to User Content, including any receipts created using the Service, regardless of the legal theory asserted.
10.4. Essential Purpose. The limitations of liability set forth herein are fundamental elements of the basis of the bargain between Fresh Receipt and you. Fresh Receipt would not provide the Service without such limitations.
10.5. Jurisdictional Limitations. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such jurisdictions, the above limitations may not apply to you in full.
11. Fees and Payment
11.1. Subscription Fees. Access to certain features of the Service may require payment of subscription fees as described on our website. All fees are quoted in Canadian dollars unless otherwise specified.
11.2. Payment Terms. You agree to pay all fees associated with your subscription plan. Fees are non-refundable except as expressly provided herein or as required by applicable law.
11.3. Automatic Renewal. Subscriptions may automatically renew at the end of each billing period unless you cancel before the renewal date.
11.4. Price Changes. Fresh Receipt reserves the right to change pricing at any time. Price changes will be communicated in advance and will apply to subsequent billing periods.
11.5. Taxes. You are responsible for all applicable taxes, and Fresh Receipt will charge tax where required by law.
12. Termination
12.1. Termination by User. You may terminate your account at any time by following the account cancellation procedures on the Service or by contacting us.
12.2. Termination by Fresh Receipt. Fresh Receipt may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to situations where:
- • (a) You breach any provision of these Terms;
- • (b) We are required to do so by law;
- • (c) We reasonably believe your conduct may expose Fresh Receipt to legal liability;
- • (d) We discontinue the Service or any part thereof.
12.3. Effect of Termination. Upon termination:
- • (a) Your right to use the Service will immediately cease;
- • (b) You must cease all use of the Service;
- • (c) We may delete your account and User Content;
- • (d) Provisions that by their nature should survive termination shall survive, including but not limited to Sections 6 (Disclaimer of Liability), 7 (Indemnification), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), and 14 (Governing Law and Dispute Resolution).
12.4. No Refunds. Unless otherwise required by applicable law, no refunds will be provided upon termination.
13. Privacy and Data
13.1. Privacy Policy. Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
13.2. Data Collection. We may collect and process certain data as described in our Privacy Policy.
13.3. User Content Retention. We may retain User Content for a reasonable period following termination for legal, regulatory, or legitimate business purposes.
13.4. No Guarantee of Confidentiality. While we implement reasonable security measures, we cannot guarantee the absolute security or confidentiality of your data.
14. Governing Law and Dispute Resolution
14.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.
14.2. Jurisdiction. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Service.
14.3. Waiver of Jury Trial. To the fullest extent permitted by law, you waive any right to a jury trial in any proceeding arising out of or relating to these Terms.
14.4. Class Action Waiver. To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14.5. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days.
15. Cooperation with Law Enforcement
15.1. Disclosure. Fresh Receipt may disclose User Content, account information, and usage data to law enforcement agencies, government officials, or other third parties when we believe in good faith that such disclosure is necessary to:
- • (a) Comply with applicable laws, regulations, legal process, or governmental requests;
- • (b) Enforce these Terms;
- • (c) Protect the rights, property, or safety of Fresh Receipt, our users, or others;
- • (d) Investigate or prevent fraud or other illegal activities;
- • (e) Respond to claims that User Content violates third-party rights.
15.2. No Liability. Fresh Receipt shall not be liable to you or any third party for any disclosure made in accordance with this Section.
16. Modifications to Service
16.1. Fresh Receipt reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
16.2. Fresh Receipt shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
17. Third-Party Links and Services
17.1. The Service may contain links to third-party websites or services. Fresh Receipt does not control and is not responsible for any third-party websites or services.
17.2. Your use of third-party websites or services is at your own risk and subject to the terms and conditions of those third parties.
18. Export Compliance
18.1. You agree to comply with all applicable export and import control laws and regulations in your use of the Service.
19. Force Majeure
19.1. Fresh Receipt shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, labor disputes, government actions, power failures, internet disruptions, or pandemics.
20. Severability
20.1. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
20.2. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
21. Waiver
21.1. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.
21.2. Fresh Receipt's failure to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.
22. Entire Agreement
22.1. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Fresh Receipt concerning the Service.
22.2. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Fresh Receipt regarding the Service.
23. Assignment
23.1. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Fresh Receipt.
23.2. Fresh Receipt may assign these Terms without restriction.
24. Notices
24.1. Fresh Receipt may provide notices to you via email, posting on the Service, or other reasonable means.

Acknowledgment
By using the Service, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them. You further acknowledge that these Terms constitute the complete and exclusive statement of the agreement between you and Fresh Receipt, superseding any prior agreements or proposals.
You expressly acknowledge and agree that Fresh Receipt is not liable for any User Content, including receipts created using the Service, and that you are solely responsible for your use of the Service and any consequences arising therefrom.
